This Data Processing Agreement (“Agreement”) forms an integral part of the Terms of Service between Solvefy AI (“Processor”) and the user or customer (“Controller”). This Agreement outlines the terms under which personal data is processed in compliance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
1. Definitions
- Personal Data: Any information relating to an identified or identifiable natural person.
- Processing: Any operation performed on Personal Data, such as collection, storage, use, disclosure, or deletion.
- Controller: The individual or entity that determines the purposes and means of the processing of Personal Data.
- Processor: Solvefy AI, which processes Personal Data on behalf of the Controller.
2. Scope and Purpose of Processing
Solvefy AI processes Personal Data solely for the purposes of providing, maintaining, and improving its services to the Controller, including but not limited to:
- Delivering AI-powered solutions and responses
- Managing user accounts and communications
- Analyzing usage patterns to enhance service quality
- Complying with legal obligations
3. Data Processing Obligations
- Processor’s Responsibilities:
- Process Personal Data only based on Controller’s documented instructions.
- Implement appropriate technical and organizational measures to ensure data security.
- Assist Controller in responding to data subject requests.
- Notify Controller promptly of any data breach affecting Personal Data.
- Controller’s Responsibilities:
- Provide clear instructions regarding the processing of Personal Data.
- Ensure lawful collection and transfer of Personal Data.
- Inform Processor of any specific security or compliance requirements.
4. Subprocessors
Solvefy AI may engage subprocessors to assist in providing services. The Controller consents to such subprocessors, provided that Solvefy AI ensures they comply with data protection obligations equivalent to this Agreement.
5. Data Security
Solvefy AI commits to implementing industry-standard security measures including but not limited to:
- Data encryption
- Access controls and authentication
- Regular security audits
- Incident response protocols
6. Data Subject Rights
Solvefy AI will assist the Controller in fulfilling obligations to respond to data subject rights requests, including access, rectification, erasure, restriction, and data portability.
7. International Data Transfers
Personal Data may be transferred and stored in servers located outside the Controller’s jurisdiction. Solvefy AI ensures such transfers comply with applicable data protection laws, including adequate safeguards like Standard Contractual Clauses.
8. Term and Termination
This Agreement remains effective as long as Solvefy AI processes Personal Data on behalf of the Controller. Upon termination, Solvefy AI will delete or return all Personal Data as per Controller’s instructions unless retention is required by law.
9. Liability and Indemnification
Both parties agree to indemnify and hold harmless the other from claims arising out of breach of this Agreement or applicable data protection laws.
10. Governing Law and Jurisdiction
